Tronox, Nortel, Innkeepers, Madoff, Lehman: Bankruptcy

The complaint alleges that Kerr-McGee accumulated “massive” environmental and retiree liabilities during its 70 years in business. To shed actual and contingent debt, Kerr- McGee first transferred what the complaint calls “clean” businesses into a new company, leaving behind what would later be known as Tronox. The leftovers were then spun off, so its valuable oil and gas properties wouldn’t be liable for environmental claims.

Within 90 days of the split, the complaint asserts that Anadarko has made a buyout offer.

The complaint states that after Tronox distribution was "grossly undercapitalized and without sufficient assets to pay its debts." Meanwhile, leaders Kerr-McGee has done what the complaint describes as "exceptional profits."

The complaint seeks damages for Tronox called a fraudulent transfer with "actual intent to hinder, delay or defraud creditors or future creditors of the entities Tronox.”

The complaint largely survived a prior motion to dismiss. In March 2010, Gropper ruled that the complaint made out a case for actual fraud and for what is known as a constructive fraud, assuming all allegations in the complaint are taken as true.

Tennis Court Resurfacing – When To Use An Acrylic Resurfacer

Acrylic Resurfacer is a product that is commonly used when the resurfacing of tennis and other sports surfaces. All major manufacturers of acrylic sport surfaces make this item and recommends its use on both new and existing court surfaces. While many installers think Acrylic Resurfacer as a primer, it is used for special purposes not entirely related to good adhesion.

First, Acrylic Resurfacer is a layer of filling. It is designed to suspend large quantities of silica sand in to fill the voids in the surface miner.Asphalt is a common substrate used for the construction of tennis. Mainly composed of asphalt binder and rock, asphalt may have a variety of porosity from one place to another. Many factors can affect the porosity of the pavement, available sources of aggregate regional and local specifications of the project. Acrylic Resurfacer can fill the void in the surface to produce an impervious surface without voids and pits that show through the surface layers of pigment.If the surface voids are not filled properly, they can lead to some of the following problems:

Second, Acrylic Resurfacer creates or restores texture to the surface before application of color coatings. Existing acrylic surfaces tend to become smoother with extended wear. The fine silica sand which has been in the coating roller surface and ultimately to the acrylic color is bright and smooth.The groomer uses an angular sand to create a paper-like finish to better accept the coating layers of color. The colored areas contain a very fine tennis, sand rounded to minimize surface scratches and marks on the application. If surface is not applied to create a suitable texture, the color coating can be applied too thin by the application squeegee. An example of comparison would be to clean a window with a squeegee. Since the window is very smooth, glass cleaner liquid is almost completely destroyed.If there is no texture on a tennis court, surface coatings are applied in a thickness sufficient. This will minimize solid film and shorten the life of the judicial system surfacing.

With its heavy body, one or more layers of acrylic Resurfacer can also be used to calibrate the rough surface repairs, and to hide repair patches of depression or crack. After application, dry surfaces at a company and hard film can be scraped and sanded before applying layers of acrylic surface.
